T\u00fcrk Medeni Kanunu\u2019nda ve 6098 s. T\u00fcrk Bor\u00e7lar Kanunu\u2019nda d\u00fczenlenmektedir. Ancak TMK\u2019da s\u00f6zle\u015fmeden do\u011fan \u00f6nal\u0131m hakk\u0131, yasal \u00f6nal\u0131m hakk\u0131 ile birlikte yer al\u0131rken, TBK\u2019da yaln\u0131zca s\u00f6zle\u015fmeden do\u011fan \u00f6nal\u0131m hakk\u0131na yer verilmi\u015ftir. TMK m.735\/3 uyar\u0131nca yasal \u00f6nal\u0131m hakk\u0131n\u0131n kullan\u0131lmas\u0131na ve bu haktan vazge\u00e7ilmesine dair TMK h\u00fck\u00fcmleri, s\u00f6zle\u015fmeden do\u011fan \u00f6nal\u0131m hakk\u0131nda da uygulama alan\u0131 bulacakt\u0131r.<\/p><p>\u00d6nal\u0131m hakk\u0131, s\u00f6zle\u015fme konusu ta\u015f\u0131nmaz\u0131n \u00fc\u00e7\u00fcnc\u00fc ki\u015filere sat\u0131lmas\u0131 durumunda kullan\u0131labilir. Ba\u011f\u0131\u015flama yap\u0131lmas\u0131, ta\u015f\u0131nmaz\u0131n cebri sat\u0131\u015fa veya kamula\u015ft\u0131rmaya konu olmas\u0131, miras yoluyla intikal gibi durumlarda bu hak kullan\u0131lamaz. Ancak Yarg\u0131tay, muvazaa ihtimali bulundu\u011funda bu husus ispatlanabilirse ba\u011f\u0131\u015flama s\u00f6z konusu olsa dahi \u00f6nal\u0131m hakk\u0131n\u0131n kullan\u0131labilece\u011fini belirtmektedir.<\/p><p>\u00d6nal\u0131m s\u00f6zle\u015fmesi yaz\u0131l\u0131 \u015fekilde yap\u0131lmal\u0131d\u0131r. Adi yaz\u0131l\u0131 \u015fekil yeterlidir. S\u00f6zle\u015fme konusu ta\u015f\u0131nmaza ili\u015fkin kira s\u00f6zle\u015fmesiyle birlikte yap\u0131lmas\u0131 da m\u00fcmk\u00fcnd\u00fcr.<\/p><p>S\u00f6zle\u015fmeye konu ta\u015f\u0131nmaza dair sat\u0131\u015f s\u00f6zle\u015fmesi yap\u0131ld\u0131\u011f\u0131nda, sat\u0131c\u0131n\u0131n veya al\u0131c\u0131n\u0131n bu durumu \u00f6nal\u0131m hakk\u0131 sahibine bildirme y\u00fck\u00fcml\u00fcl\u00fc\u011f\u00fc bulunmaktad\u0131r. Bu bildirimin noter arac\u0131l\u0131\u011f\u0131yla yap\u0131lmas\u0131 ve sat\u0131\u015f s\u00f6zle\u015fmesinin i\u00e7eri\u011fini ihtiva etmesi zorunludur.<\/p><p>\u00d6nal\u0131m hakk\u0131, en \u00e7ok on y\u0131ll\u0131k s\u00fcre i\u00e7in kararla\u015ft\u0131r\u0131labilir.<\/p><p>\u00d6nal\u0131m s\u00f6zle\u015fmesinin tapu siciline \u015ferh verilmesi zorunlu de\u011fildir. Ancak \u015ferh verilmezse, \u00f6nal\u0131m hakk\u0131 sahibi, ta\u015f\u0131nmaz\u0131n \u00fc\u00e7\u00fcnc\u00fc ki\u015fi ad\u0131na tescil edildi\u011fi durumlarda yeni malike herhangi bir talep y\u00f6neltemeyecektir. Yaln\u0131zca, \u00f6nal\u0131m s\u00f6zle\u015fmesinin taraf\u0131 olan eski malikten tazminat talep edebilecektir. \u015eerh verildi\u011fi durumlarda ise bu \u015ferh, e\u015fyaya ba\u011fl\u0131 bor\u00e7 etkisi yaratarak, tapuda \u00fc\u00e7\u00fcnc\u00fc ki\u015filere tescil yap\u0131lsa dahi her yeni malike kar\u015f\u0131 \u00f6nal\u0131m hakk\u0131n\u0131n ileri s\u00fcr\u00fclmesini sa\u011flayacakt\u0131r. Taraflar\u0131n \u00f6nal\u0131m hakk\u0131n\u0131n tapuya \u015ferh verilece\u011fine dair bir \u015ferh s\u00f6zle\u015fmesi yapmalar\u0131 gereklidir. \u015eerhin etkisi her halde en fazla on y\u0131l olabilir. Taraflar \u015ferhin etkisinin daha uzun s\u00fcrece\u011fine dair anla\u015fma yapamazlar.<\/p><p>\u00d6nal\u0131m hakk\u0131 ancak dava yoluyla kullan\u0131labilir. Dava s\u00fcresi, al\u0131c\u0131 yahut sat\u0131c\u0131n\u0131n ta\u015f\u0131nmaz\u0131n sat\u0131\u015f\u0131na ili\u015fkin noter kanal\u0131yla yapt\u0131\u011f\u0131 bildirim tarihinden itibaren \u00fc\u00e7 ay, her halde sat\u0131\u015f\u0131n yap\u0131ld\u0131\u011f\u0131 tarihten itibaren ise iki y\u0131ld\u0131r. Bu s\u00fcreler hak d\u00fc\u015f\u00fcr\u00fcc\u00fcd\u00fcr. \u00d6nal\u0131m davas\u0131nda davac\u0131, ta\u015f\u0131nmaz\u0131n sat\u0131\u015f s\u00f6zle\u015fmesi h\u00fck\u00fcmleri uyar\u0131nca kendi ad\u0131na tescilini isteyecektir. \u00d6nal\u0131m hakk\u0131 tapuya \u015ferh verilirken \u00f6nal\u0131ma dair \u015fartlar taraflarca \u00f6nceden belirlenebilir. Buna nitelikli \u00f6nal\u0131m s\u00f6zle\u015fmesi denilmektedir. Sat\u0131\u015f bedeli de bu kapsamda belirlenerek tapuya \u015ferh verilirse \u00f6nal\u0131m hakk\u0131 sahibi dava a\u00e7t\u0131\u011f\u0131nda \u015ferh edilen bedel \u00fczerinden ta\u015f\u0131nmaz\u0131n kendi ad\u0131na tescilini isteyebilecektir. \u00d6nal\u0131m hakk\u0131 sahibine bir bildirim yap\u0131lmam\u0131\u015fsa ve hak d\u00fc\u015f\u00fcr\u00fcc\u00fc s\u00fcreler ge\u00e7ti\u011fi i\u00e7in art\u0131k \u00f6nal\u0131m hakk\u0131 kullan\u0131lam\u0131yorsa, sat\u0131c\u0131dan yaln\u0131zca \u00f6nal\u0131m s\u00f6zle\u015fmesi uyar\u0131nca tazminat istenebilir.<\/p><p>TBK m. 239\u2019a g\u00f6re taraflar aksini kararla\u015ft\u0131rmad\u0131k\u00e7a s\u00f6zle\u015fmeden do\u011fan \u00f6nal\u0131m hakk\u0131 devredilemez, yaln\u0131zca miras yoluyla miras\u00e7\u0131lara ge\u00e7ebilir.<\/p><p>\u00d6nal\u0131m hakk\u0131ndan feragat etmek m\u00fcmk\u00fcnd\u00fcr.
